Purex directors take charge
Two directors at fume extraction specialist Purex International in Rotherham acquired the business
from its parent company Domino Printing Sciences in a classic management buyout

the company has been part of the
Domino Group since 2004. Domino
develops and manufactures printing
technologies for manufacturers via a
global network of 25 subsidiary offices
and more than 200 distributors.
Easey and Jones say the buyout
has given them an the opportunity
to develop new markets. Their plans
also included further investment in
new products. Paul Trudgill, managing
partner at hlw Keeble Hawson, who
advised on the deal, says: "In one
sense it's a textbook deal taking a
non-core asset out of a plc into the
hands of management; but in reality
it was more complex."
Under the terms of the deal, Purex
remained a supplier to the parent
company, which led to deliberations
and discussions about how the future
relationship would be maintained; and
half way through the process office
equipment supplier Brother started to
launch a bid to acquire Domino and
take it private.
Trudgill says: "There were lots of
twists and turns on defining how
they would work together then the
Brother deal came along - that had
the potential to throw a spanner in
the works. We didn't know at times if
Brother wanted all the assets, and we
thought everything would stall."
Following a strategic review of
options, the board at Domino Printing
Science decided Purex would be better
placed to expand as an independent
business. Domino said it had no
plans to expand the group's activities
into broader extraction or purification
applications and that the disposal of
would allow the company to focus on
developing opportunities in coding,
marking and digital printing.
Hart Shaw, Barclays, Sloan Plumb
Wood, Grant Thornton also advised on
the deal.
CASE STUDY
he management buyout at Purex
International, which involved a
host of local advisers, provided
a cash-out and additional working
capital funding for the company
manufactures and installs fume and
dust extraction systems for the printing
industry.
Its systems capture fumes at the
source, preventing fumes escaping
into the workplace, before filtering
and recycling them so fumes are not
pumped into the outside environment.
The company, based in Rotherham,
installs systems in electronics factories
and to remove the odours created by
wide format inkjet printing equipment.
Directors Andy Easey and Trefor
Jones bought the company - which at
the time had a turnover of £10m and
operating profits in excess of £1.8m -
with a view to better drive expansion in
its chosen markets.
Employing a workforce of 30 people,
